1. Introduction and Acceptance
1.1 Service Operator
These Terms of Service ("Terms") are entered into between the customer ("Customer", "you") and:

Ninibe GmbH operates the Service under the brand name ENGLISHJOBS. References to "ENGLISHJOBS" in these Terms refer to Ninibe GmbH.
1.2 The Service
These Terms govern the use of the ENGLISHJOBS Employer Dashboard ("Service"), accessible at englishjobs.com. The Service is an online platform that enables employers and hiring agencies to create, manage, and publish job postings and employer profiles across the ENGLISHJOBS European market websites.
1.3 Acceptance
By registering an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1.4 Authority
You represent and warrant that you are a legally authorised representative of the business entity on whose behalf you are registering. You have the authority to bind that entity to these Terms.
1.5 B2B Service
The Service is intended exclusively for business customers (B2B). It is not intended for use by consumers within the meaning of § 13 BGB (German Civil Code) or equivalent consumer protection legislation.
1.6 Contract Formation
Account registration constitutes an offer to enter into a contract for the use of the Service. Activation of the Service by ENGLISHJOBS constitutes acceptance of that offer. Automated confirmation emails sent during the registration process are for informational purposes only and do not constitute acceptance.
1.7 Enterprise Agreements
Where ENGLISHJOBS and the Customer have entered into a separate written enterprise agreement, the terms of that enterprise agreement shall prevail over these Terms to the extent of any conflict. All provisions of these Terms that are not expressly modified or superseded by the enterprise agreement remain in full force.
2. Definitions
In these Terms, the following definitions apply:
- "Account" — the Customer's registered account on the Service.
- "Admin" — a Team Member role with access to account settings, billing, team management, and content management features.
- "Applicable Local Law" — the employment, anti-discrimination, data protection, and advertising laws of the country in which a job post is published or an employer profile is listed.
- "Content" — any data submitted to the Service by the Customer, including job postings, employer profiles, logos, descriptions, application URLs, and any other materials.
- "Editor" — a Team Member role with access to content management features (e.g., job posts, employers, locations), but without billing or team management access.
- "Employer Profile" — a company profile created within the Service, containing business information, logo, description, and related data.
- "Hiring Agency" — a Customer that publishes job postings on behalf of one or more Represented Employers.
- "Job Post" — a job listing created and published through the Service.
- "Market" or "Market Site" — a country-specific ENGLISHJOBS website. The current list of Markets is published on the ENGLISHJOBS website and may be updated from time to time.
- "Publication Partner" — a third party (e.g., job board, aggregator, or search engine) that may publish job posts at ENGLISHJOBS' request when export or syndication is enabled for a job post.
- "Represented Employer" — the final hiring entity that has authorised a Hiring Agency to publish job postings on its behalf.
- "Subscription Plan" — the pricing tier selected by the Customer, which determines the features, limits, and pricing applicable to the Account.
- "Team Member" — a person invited by the Customer to access the Service under the Customer's Account.
- "Viewer" — a Team Member role with read-only access to view content within the Service.
3. Account Registration and Eligibility
3.1 Eligibility
The Service is available only to legal entities or authorised representatives of legal entities. By registering, you confirm that you meet this requirement.
3.2 Registration Information
You must provide accurate and complete registration information, including company name, billing email address, and VAT ID where applicable. You are responsible for keeping this information current.
3.3 One Account per Entity
Each business entity may register only one Account, unless otherwise agreed in writing with ENGLISHJOBS.
3.4 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify ENGLISHJOBS without undue delay at [email protected] if you become aware of any unauthorised access to or use of your Account.
3.5 Hiring Agencies
Hiring Agencies must have and maintain documented authorisation from each Represented Employer on whose behalf they publish job postings through the Service. ENGLISHJOBS may request evidence of such authorisation at any time.
4. Team Members and Access
4.1 Roles
The Service provides the following Team Member roles:
- Admin — full access to account settings, billing, team management, and content management.
- Editor — access to content management features (job posts, employer profiles, locations) without billing or team management access.
- Viewer — read-only access to view content.
Role permissions are configured and displayed within the Service and may be updated from time to time.
4.2 Admin Responsibilities
The Account Admin is responsible for managing Team Members, assigning roles, and overseeing billing and account settings.
4.3 Accountability
The Customer is responsible for all actions taken by its invited Team Members. Inviting a Team Member constitutes authorisation for that person to act on behalf of the Customer within the scope of their assigned role.
4.4 Invitations
Team Members are added by invitation. By accepting an invitation, a Team Member agrees to these Terms insofar as they relate to the use of the Service.
5. Subscriptions and Billing
5.1 Available Plans
The Service offers multiple Subscription Plans with varying features, usage limits, and pricing tiers. The current plans, their features, limits, and pricing are displayed on the ENGLISHJOBS website and within the Service.
Certain plans are designed for Hiring Agencies that publish and manage job postings for multiple Represented Employers. Enterprise plans are available by separate agreement.
ENGLISHJOBS reserves the right to introduce, modify, or discontinue Subscription Plans and to change pricing in accordance with Section 5.8.
5.2 Free Trials and Promotional Offers
ENGLISHJOBS may offer free trials, promotional periods, or other introductory offers at its discretion. The terms, duration, eligibility criteria, and conditions of any such offer are displayed during sign-up or within the Service at the time of activation and form part of these Terms by reference. If the Customer does not cancel before the end of a trial or promotional period, the subscription automatically converts to a paid subscription. ENGLISHJOBS reserves the right to modify, withdraw, or introduce new trials and promotional offers at any time without prior notice.
5.3 Billing Cycle
Subscriptions are billed on a monthly recurring basis. Each billing cycle begins on the date the paid subscription starts (i.e., at the end of any trial or promotional period, or at the time of subscription where no such period applies) and renews automatically each month until cancelled.
5.4 Merchant of Record (Self-Service Plans)
For self-service Subscription Plans (Starter, Standard, Agency), payment processing, invoicing, VAT/tax calculation, and refunds are handled by Paddle.com Market Limited as Merchant of Record. The Customer's payment relationship for self-service plans is governed by Paddle's buyer terms. ENGLISHJOBS is not a party to the payment transaction.
Subscription entitlements for self-service plans depend on Paddle confirming active payment status to ENGLISHJOBS.
5.5 Enterprise Billing
Enterprise customers who have entered into a separate enterprise agreement (see Section 1.7) may be invoiced directly by ENGLISHJOBS. In such cases, payment terms, invoicing, VAT handling, dunning, and refund policies are governed by the enterprise agreement, and the Paddle-related provisions of this Section do not apply.
5.6 Upgrading and Downgrading
Customers may upgrade or downgrade their Subscription Plan at any time through the Service, subject to plan availability and compatibility with current Account usage. Changes take effect in accordance with the billing cycle. ENGLISHJOBS may restrict or adjust downgrade options where the Customer's current usage exceeds the limits of the target plan.
5.7 Pausing, Cancelling, and Reactivating
- Pausing — Customers may pause their subscription through the Service. During a pause, access to paid features is suspended but Account data is retained.
- Cancelling — Customers may cancel their subscription at any time. Cancellation takes effect at the end of the current billing cycle. The Customer retains access to paid features until the end of the paid period.
- Reactivating — A cancelled or paused subscription may be reactivated through the Service. Reactivated subscriptions are not eligible for introductory free trials.
5.8 Price Changes
ENGLISHJOBS may change subscription pricing with at least 30 days' advance notice to the Customer by email and/or in-app notification. Price changes apply at the start of the next billing cycle following the notice period. If the Customer does not agree with a price change, the Customer may cancel the subscription before the new pricing takes effect, without penalty.
5.9 Refund Policy
Refunds for self-service plans are processed through Paddle in accordance with Paddle's refund policies. ENGLISHJOBS may, at its discretion, request that Paddle issue a refund to the Customer. Enterprise plan refunds are governed by the applicable enterprise agreement.
5.10 Payment Failure
In the event of a payment failure, ENGLISHJOBS will provide the Customer with a reasonable grace period during which the Customer may update their payment method. If payment is not successfully collected within the grace period, ENGLISHJOBS may suspend access to the Service. Continued failure to pay may result in Account termination in accordance with Section 19.
5.11 Payment Obligations
The Account holder is the contracting party for all payment obligations, including in the case of agency Accounts. Outstanding payment obligations survive termination of the Account.
6. Permitted Use and Restrictions
6.1 Permitted Use
The Service may be used solely for legitimate recruitment and job advertising purposes.
6.2 Prohibited Content
The Customer shall not submit, publish, or cause to be published through the Service any Content that:
- is fraudulent, misleading, or deceptive;
- violates applicable anti-discrimination laws;
- advertises or requires illegal activity;
- constitutes spam, duplicate postings, or mass-generated listings;
- infringes the intellectual property rights of any third party;
- contains malware, phishing attempts, or harmful links in job descriptions or application URLs;
- is not directly job-search relevant, including but not limited to competitions, pure advertising, and non-career events;
- contains tracking scripts, interactive elements, or customer analytics code embedded in job descriptions (links to external application pages are permitted).
6.3 Prohibited Activities
The Customer shall not:
- scrape, crawl, or use automated means to access, extract, or index data from the Service, except through APIs expressly provided by ENGLISHJOBS;
- reverse-engineer, decompile, or disassemble any part of the Service;
- resell, sublicense, or grant third-party access to the Service or any part thereof;
- impersonate another business entity;
- post job listings on behalf of a final employer without valid, documented authorisation;
- misrepresent whether a job posting is published by a direct employer or a Hiring Agency.
7. Job Postings and Content
7.1 Accuracy
The Customer is responsible for the accuracy and truthfulness of all Content submitted to the Service, including job post details, employer information, salary data, and remote work classifications.
7.2 Review and Approval
Job posts may be subject to review by ENGLISHJOBS before publication. ENGLISHJOBS may place job posts in a pending status during review.
7.3 Right to Refuse or Remove
ENGLISHJOBS reserves the right, at its sole discretion, to reject, hide, or remove any Content for any reason, including but not limited to Content that does not comply with these Terms or that ENGLISHJOBS considers inappropriate for the platform. Exercise of this right does not waive the Customer's payment obligations. Grounds for refusal or removal include, without limitation:
- violation of the prohibited content rules in Section 6.2;
- failure to comply with Applicable Local Law in the target Market (see Section 8);
- self-employment, freelance, or contractor roles not clearly labelled as such;
- missing or non-compliant legal imprint (Impressum) on linked employer websites where required by law;
- roles that require advance payments or financial investments from candidates without clear disclosure;
- job posts that do not reference a genuine open vacancy.
7.4 Expiration and Archival
Job posts are subject to expiration policies as displayed within the Service. Expired job posts are archived and are no longer publicly visible.
7.5 Application Methods
The Customer is responsible for the application method URLs and email addresses provided in job posts. Linked application pages must comply with applicable imprint and disclosure laws.
7.6 Salary Information
Where salary information is provided, it must be accurate. In Markets where salary disclosure is mandatory by law, the Customer is solely responsible for compliance with those requirements.
7.7 Agency Postings
Job posts published by a Hiring Agency must accurately identify the posting entity as an agency and/or identify the Represented Employer, as required by Applicable Local Law. The Hiring Agency warrants that it holds a current mandate to recruit for each Represented Employer listed in the Account.
7.8 No Exclusivity
ENGLISHJOBS does not guarantee exclusivity. Competing employers' job listings may appear alongside the Customer's postings.
7.9 Search Engine Indexing
ENGLISHJOBS may set metadata to control search engine archiving but is not responsible for cached or archived versions of job posts that persist in third-party search engines after expiry. Removal requests for cached content must be directed to the respective search engine operator.
7.10 Third-Party Syndication
If the Customer enables export or syndication for a job post (e.g., by selecting an "allow export" option), ENGLISHJOBS may share the job post and associated Employer Profile data (such as company name and logo) with Publication Partners for publication and promotion. The Customer acknowledges that:
- Publication Partners may have their own publication and removal timelines;
- ENGLISHJOBS cannot guarantee immediate removal of previously syndicated Content from third-party sites or search engines;
- disabling export stops future sharing but does not retroactively remove Content already distributed to Publication Partners.
8. International Compliance
8.1 Multi-Market Obligation
The Service may publish job postings across multiple European Market Sites. The Customer is solely responsible for ensuring that all submitted Content complies with the Applicable Local Law of each Market in which a job post is published, syndicated, or an Employer Profile is listed.
8.2 No Legal Advice
ENGLISHJOBS provides the platform for job advertising but does not provide legal advice on local compliance. The Customer should obtain independent legal advice where necessary.
8.3 Platform Compliance Features
ENGLISHJOBS may, at its discretion, add market-specific validation rules, mandatory fields, warnings, or request supporting documentation to assist with compliance. The Customer remains solely responsible for compliance with Applicable Local Law regardless of any such features.
8.4 Consequences of Non-Compliance
Non-compliance with Applicable Local Law constitutes a breach of these Terms and may result in Content removal, Account suspension, or termination in accordance with Section 19.
9. Employer Profiles
9.1 Accuracy
The Customer is responsible for the accuracy of all Employer Profile information, including company name, description, size, industry, and location.
9.2 Logo Usage
The Customer represents and warrants that it owns or has a valid licence to use any logos or images uploaded to the Service.
9.3 Multiple Profiles
Customers may create multiple Employer Profiles within the limits of their Subscription Plan.
9.4 Version History
ENGLISHJOBS may retain version history of Employer Profiles for operational and compliance purposes.
9.5 Agency Employer Profiles
For agency Accounts, each Represented Employer profile must be kept current, accurate, and lawfully usable by the Hiring Agency.
10. Intellectual Property
10.1 Customer Content
The Customer retains all ownership rights in the Content it submits to the Service.
10.2 Licence to ENGLISHJOBS
By submitting Content to the Service, the Customer grants ENGLISHJOBS (and its affiliates and Publication Partners) a non-exclusive, worldwide, royalty-free licence to host, reproduce, distribute, and publicly display the Content for the purpose of operating, delivering, and promoting the Service, including publication across the European Market Sites and optional third-party syndication where enabled by the Customer. This licence terminates when the Content is deleted from the Service, subject to reasonable technical delays and any syndication already in progress at the time of deletion.
10.3 ENGLISHJOBS Intellectual Property
ENGLISHJOBS retains all rights, title, and interest in and to the Service, including the platform, software, design, branding, trademarks, and all related intellectual property.
10.4 Database Rights
ENGLISHJOBS is the maker of the job listing database within the meaning of the EU Database Directive (96/9/EC) and §§ 87a, 4 of the German Copyright Act (Urheberrechtsgesetz). Systematic extraction or re-utilisation of the database contents is prohibited.
10.5 Anonymised and Aggregated Data
ENGLISHJOBS may use anonymised and aggregated data derived from Customer Content (e.g., job market trends, salary statistics, hiring patterns) for analytics, research, and publication. No individual Customer or employer will be identifiable in such publications.
10.6 Feedback
Any feedback, suggestions, or ideas provided by the Customer regarding the Service may be used by ENGLISHJOBS without obligation or compensation to the Customer.
11. Customer Cooperation Duties
11.1 Information and Documents
The Customer must provide necessary information, documents, and materials in a timely manner when requested by ENGLISHJOBS, including but not limited to verification of employer identity, agency mandates, logo usage rights, or compliance documentation.
11.2 Consequences of Non-Cooperation
ENGLISHJOBS is not liable for delays, service limitations, or Content removal caused by the Customer's failure to cooperate.
11.3 Contact Information
The Customer must maintain accurate and up-to-date contact information for the Account administrator at all times.
12. Confidentiality
12.1 Obligations
Both parties shall treat as confidential all non-public technical, commercial, and financial information obtained from the other party during the use of the Service ("Confidential Information"). Neither party shall disclose Confidential Information to third parties without the prior written consent of the disclosing party.
12.2 Exceptions
Confidentiality obligations do not apply to information that:
- is or becomes publicly available through no fault of the receiving party;
- was known to the receiving party prior to disclosure;
- is independently developed by the receiving party without reference to the Confidential Information;
- is required to be disclosed by law, regulation, or court order, provided the receiving party gives the disclosing party reasonable prior notice where legally permitted.
12.3 Affiliates
Affiliated companies within the meaning of § 15 AktG (German Stock Corporation Act) are not considered third parties for the purposes of this Section.
12.4 Survival
Confidentiality obligations survive termination of the Account.
13. Data and Privacy
13.1 Privacy Policy
The processing of personal data in connection with the Service is governed by the ENGLISHJOBS Employer Dashboard Privacy Policy, which is available on the ENGLISHJOBS website.
13.2 Data Processing Agreement
Where ENGLISHJOBS processes personal data on behalf of the Customer (e.g., team member accounts, employer profile data), a Data Processing Agreement ("DPA") governs the processing. The DPA is available upon request by contacting [email protected] and, once executed, forms an integral part of these Terms.
13.3 Controller and Processor Roles
- Team member and administrator account data processed in the Service: the Customer is the data controller and ENGLISHJOBS is the data processor.
- Employer profile and job post publication data submitted by the Customer: the Customer is the data controller and ENGLISHJOBS is the data processor, unless ENGLISHJOBS must process specific data as an independent controller to comply with a legal obligation.
- Candidate data collected on external application pages linked from job posts: the Customer and/or the Represented Employer is the data controller. ENGLISHJOBS is not the data processor for that external processing unless expressly agreed in writing.
- For agency Accounts, the Customer is responsible for establishing lawful controller or joint-controller arrangements with Represented Employers.
13.4 Swiss Data
For data relating to Swiss-market activities, the Customer acknowledges that the Swiss Federal Act on Data Protection (nDSG/FADP) applies in addition to or instead of the GDPR, and that the DPA addresses both frameworks.
13.5 Data Breach Notification
ENGLISHJOBS will notify the Customer without undue delay of any personal data breach affecting personal data processed on behalf of the Customer, as required by applicable data protection law and the DPA.
13.6 Sub-Processors
ENGLISHJOBS may engage sub-processors to deliver the Service. Details, including notice, information, and objection processes, are set out in the DPA.
13.7 Technical and Organisational Measures
ENGLISHJOBS maintains appropriate technical and organisational security measures to protect Customer data, as described in the DPA.
14. Warning and Legal Notices Obligation
14.1 Notification Duty
The Customer must inform ENGLISHJOBS in writing (email to [email protected]) without undue delay upon receiving any warnings, cease-and-desist declarations, regulatory inquiries, or court rulings related to Content published through the Service.
14.2 Consequences of Failure to Notify
If the Customer fails to notify ENGLISHJOBS in a timely manner, ENGLISHJOBS is released from related liability only to the extent the delay caused or materially increased the relevant damage.
14.3 Indemnification
The Customer indemnifies ENGLISHJOBS against claims, costs, and damages to the extent caused by the Customer's failure to comply with this notification obligation.
15. Service Availability and Modifications
15.1 Availability
ENGLISHJOBS provides the Service on a best-effort basis. Unless a specific service level agreement (SLA) has been agreed in an enterprise agreement, ENGLISHJOBS does not guarantee uninterrupted or error-free availability.
15.2 Modifications
ENGLISHJOBS reserves the right to modify, update, or discontinue features of the Service at any time. Where reasonably practicable, ENGLISHJOBS will provide advance notice of material changes.
15.3 Maintenance
Scheduled maintenance may temporarily affect Service availability. Where reasonably possible, ENGLISHJOBS will provide advance notice of scheduled maintenance.
15.4 Limitation
ENGLISHJOBS is not liable for interruptions, errors, or data loss beyond what is required by mandatory law.
16. Warranty
16.1 Service Standard
ENGLISHJOBS provides the Service "as is" within the scope described in these Terms.
16.2 Inspection and Notification
The Customer must review the Service upon activation and report any defects or non-conformities without undue delay.
16.3 Rectification
In the case of a material defect, ENGLISHJOBS shall first attempt rectification within a reasonable period. Only after two unsuccessful rectification attempts may the Customer request a proportionate price reduction or termination of the affected subscription.
16.4 Minor Deviations
Warranty claims do not apply to minor deviations from the service description that do not materially affect usability.
16.5 Limitation Period
Warranty claims expire 12 months from the date the defect became apparent to the Customer.
16.6 Exceptions
This Section does not limit claims for wilful misconduct or gross negligence.
17. Limitation of Liability
17.1 No Guarantees on Outcomes
ENGLISHJOBS does not guarantee any specific hiring outcomes, candidate quality, recruitment results, application volumes, job post visibility, search ranking positions, or the suitability of candidates who apply through the Service. The Service is a publishing and distribution platform; recruitment success depends on factors outside ENGLISHJOBS' control, including market conditions, the Customer's job descriptions, compensation offered, and employer reputation.
17.2 Third-Party Content
ENGLISHJOBS is not liable for third-party content, including applicant data or the content of websites linked from job postings.
17.3 Liability Cap
ENGLISHJOBS' total aggregate liability arising out of or in connection with these Terms and the use of the Service is limited to the fees paid by the Customer in the 6 months preceding the event giving rise to the claim for the affected Account.
For self-service plans billed through Paddle, "fees paid" means amounts actually remitted to ENGLISHJOBS by Paddle for that period (excluding VAT/sales tax, Paddle fees, and refunds). For enterprise plans, "fees paid" means amounts paid directly to ENGLISHJOBS under the enterprise agreement for that period.
17.4 Exclusion of Indirect Damages
To the maximum extent permitted by law, ENGLISHJOBS shall not be liable for indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profit, loss of data, loss of business opportunity, reputational damage, loss of candidates, recruitment delays, cost of substitute recruitment services, or damages arising from the Customer's reliance on the availability, accuracy, or timeliness of the Service.
17.5 Unlimited Liability
Liability for wilful misconduct (Vorsatz) and gross negligence (grobe Fahrlässigkeit) remains unlimited.
17.6 Material Contractual Obligations
For breaches of material contractual obligations (Kardinalpflichten), liability is limited to foreseeable, typically occurring damages.
17.7 Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party service providers.
17.8 Local Law Non-Compliance
ENGLISHJOBS is not liable for the Customer's failure to comply with Applicable Local Law in any Market (see Section 8).
17.9 Third-Party Syndication and Publication Partners
ENGLISHJOBS is not liable for acts or omissions of Publication Partners, including delays in publication or removal of syndicated Content, modifications made by Publication Partners to the format or presentation of Content, or any damages arising from the publication of Content on third-party platforms.
17.10 Duty to Mitigate
The Customer is obligated to take all reasonable measures to mitigate damages. Claims shall be reduced to the extent that the Customer fails to mitigate.
17.11 Claim Filing Period
Any claim arising out of or in connection with these Terms must be raised in writing within 6 months of the date on which the Customer became aware, or should reasonably have become aware, of the event giving rise to the claim. Claims not raised within this period are time-barred, except where a shorter or longer limitation period is mandatorily prescribed by law.
18. Indemnification
The Customer shall indemnify, defend, and hold harmless ENGLISHJOBS, its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Content posted by the Customer through the Service;
- the Customer's violation of these Terms;
- the Customer's violation of applicable laws, including employment, anti-discrimination, and data protection laws in any Market;
- infringement of third-party intellectual property rights by the Customer's Content;
- unauthorised agency posting or disputes between Hiring Agencies and Represented Employers;
- the Customer's failure to comply with the warning and legal notices obligation under Section 14;
- non-compliance with Applicable Local Law in any Market (Section 8), including but not limited to salary transparency rules, anti-discrimination requirements, licensing obligations, vacancy reporting rules, and language requirements.
19. Account Suspension and Termination
19.1 Suspension by ENGLISHJOBS
ENGLISHJOBS may suspend access to the Service, in whole or in part, if:
- the Customer breaches these Terms;
- the Customer's payment is overdue beyond the grace period (see Section 5.10);
- ENGLISHJOBS reasonably believes that the Customer's use of the Service poses a legal or security risk.
ENGLISHJOBS will provide notice of the suspension and the reasons therefor where reasonably practicable.
19.2 Termination by ENGLISHJOBS for Cause
ENGLISHJOBS may terminate the Customer's Account with immediate effect if:
- the Customer commits a material breach of these Terms that is not cured within a reasonable period after written notice;
- the Customer repeatedly violates these Terms;
- the Customer's payment remains outstanding beyond the grace period despite notification.
19.3 Termination by ENGLISHJOBS without Cause
ENGLISHJOBS reserves the right to terminate any Account at any time, for any reason or no reason, with immediate effect. Where reasonably practicable, ENGLISHJOBS will provide notice of such termination. In the event of termination without cause, the Customer will receive a full refund of any prepaid fees for the current billing cycle.
19.4 Termination by the Customer
The Customer may terminate the Account at any time by cancelling the subscription through the Service and requesting Account deletion. Cancellation takes effect at the end of the current billing cycle.
19.5 Effect of Termination
Upon termination:
- all active job postings are unpublished;
- access to the Service is revoked for all Team Members;
- Content and Account data will be deleted within 14 days after the applicable grace period, unless retention is required by law. Backup and disaster recovery copies may persist for up to 30 days before being overwritten;
- outstanding payment obligations survive termination (enforced via Paddle for self-service plans, or per the enterprise agreement for enterprise customers).
19.6 Agency Accounts
Termination of an agency Account affects all Represented Employer postings and profiles managed under that Account.
20. Dispute Resolution
20.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-laws provisions.
20.2 Jurisdiction
The exclusive place of jurisdiction is Lübeck, Germany, to the extent legally permissible and where the Customer is a merchant (Kaufmann), legal entity under public law, or special fund under public law.
20.3 Informal Resolution
The parties agree to attempt to resolve any disputes informally before initiating legal proceedings.
20.4 EU Online Dispute Resolution
The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. As the Service is a B2B-only service, consumer ODR procedures are generally not applicable. This reference is provided for informational purposes only as required by Regulation (EU) No 524/2013.
21. Marketing Communications
21.1 Product Communications
ENGLISHJOBS may send the Customer product-related communications (new features, plan changes, service announcements) to the Account administrator's email address.
21.2 Opt-Out
The Customer may opt out of non-essential marketing communications at any time via Account settings or by using the unsubscribe link included in each marketing email.
21.3 Transactional Communications
Transactional communications (billing notifications, security alerts, terms changes) cannot be opted out of, as they are necessary for the provision and administration of the Service.
22. Changes to Terms
22.1 Right to Modify
ENGLISHJOBS reserves the right to modify these Terms at any time with reasonable advance notice.
22.2 Non-Material Changes
ENGLISHJOBS may make non-material changes to these Terms or the Privacy Policy without prior notice. Non-material changes include, without limitation, corrections of typographical errors, formatting adjustments, updates to contact details or company address (provided there is no change of governing law or jurisdiction), and clarifications that do not alter the substance of any provision. Such changes take effect upon publication of the updated document on the ENGLISHJOBS website.
22.3 Notification of Material Changes
Material changes will be communicated by email to the billing email address on file and/or by in-app notification.
22.4 Acceptance
Continued use of the Service after the notice period constitutes acceptance of the modified Terms.
22.5 Right to Terminate
If the Customer does not agree with the modified Terms, the Customer may terminate the Account before the changes take effect, without penalty.
23. Miscellaneous
23.1 Entire Agreement
These Terms, together with the DPA, the Privacy Policy, and any applicable enterprise agreement, constitute the entire agreement between the parties regarding the use of the Service and supersede all prior agreements, understandings, and representations.
23.2 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that achieves the original commercial purpose as closely as possible.
23.3 No Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.
23.4 Assignment
The Customer may not assign or transfer any rights or obligations under these Terms without the prior written consent of ENGLISHJOBS. ENGLISHJOBS may assign its rights and obligations to an affiliated company (within the meaning of § 15 AktG) or to a successor entity in the event of a merger, acquisition, or sale of all or substantially all of its assets.
23.5 Legal Notices
All legal notices under these Terms must be sent in writing to:

23.6 Contract Language
The authoritative language of these Terms is English. In the event of any conflict between translated versions and the English original, the English version shall prevail.
